Introduction

These Terms & Conditions govern access to and use of the websites operated by Customs Manager Ltd ("Customs Manager", "we", "us" or "the Company"), including the Customs Manager INFO trade intelligence platform.

Customs Manager Ltd provides professional customs and international trade consultancy, trade intelligence, regulatory updates, analysis, publications, educational resources, training and related services.

By accessing our websites, registering an account, subscribing to our services or purchasing any product or service, you agree to these Terms & Conditions. If you do not agree with these terms, you must discontinue use of the relevant website or service.

These Terms & Conditions should be read together with our Privacy Policy and Cookie Policy, available through our websites.

Different provisions apply to website visitors, registered users, subscribers, business customers and consumers. Where a separate written agreement has been entered into for consultancy, training, customs clearance or another professional engagement, that agreement will govern the specific engagement where its provisions differ from these general terms.

Customer Classification

These Terms & Conditions distinguish between business customers and consumers.

Business customers (B2B) are companies, partnerships, sole traders and other organisations or individuals purchasing or using our services wholly or mainly for purposes relating to their trade, business, craft or profession.

Consumers (B2C) are individuals acting for purposes wholly or mainly outside their trade, business, craft or profession, as defined by applicable UK consumer legislation.

The classification of a customer depends on the purpose of the purchase, rather than simply whether it is an individual or an organisation.

Where a customer purchases a subscription or service for professional or commercial purposes, the business customer provisions apply.

Where a customer qualifies as a consumer, the applicable statutory consumer protections apply. Nothing in these Terms & Conditions excludes or restricts rights that cannot legally be excluded or restricted.

If a customer purchases services partly for business and partly for private purposes, the applicable legal classification will be determined by the relevant statutory tests and circumstances.

Websites and Scope of Operation

Customs Manager Ltd operates two websites:

www.customsmanager.org

The corporate website providing information about the Company that provides expertise and professional services.

www.customsmanager.info

The dedicated Customs Manager INFO platform providing trade intelligence, publications, subscriptions, knowledge resources and training.

The websites provide information and services relating principally to the customs and international trade regulatory environments of the United Kingdom, European Union and United States, as well as international export controls and sanctions.

The information and services available may change, expand or be withdrawn as the Company's business and platform develop.

Registration, Orders and Contract Formation

Registration
  • Certain services and resources require registration or the creation of a user account.
  • You agree to provide accurate, complete and current information when registering and to update your details when necessary.
  • You are responsible for maintaining the confidentiality of your account credentials and for activities carried out through your account.
  • You must notify us promptly if you become aware of unauthorised access to your account.
Orders and Subscriptions
  • Orders and subscription requests submitted through our websites constitute an offer to purchase or subscribe to the selected service.
  • Submitting an order acknowledgement or automated confirmation does not, by itself, constitute acceptance of that order.
  • A contract is formed when Customs Manager Ltd confirms acceptance in writing, including by email, or otherwise expressly confirms that the relevant service has commenced.
  • We reserve the right to decline an order where there is a legitimate business, operational, compliance or other reasonable reason to do so.
Separate Professional Engagements
  • Consultancy, customs advisory, customs clearance, bespoke training and other individually commissioned services may require a separate proposal, quotation, statement of work or engagement agreement.
  • The scope, deliverables, fees, responsibilities and applicable terms for such services will be confirmed separately.
  • Registration for or subscription to Customs Manager INFO does not automatically create an entitlement to individual consultancy or professional advice.

Service and Publications

General Service Description

5.3 Paid PRO Services

Customs Manager INFO provides customs and international trade intelligence designed to help businesses identify relevant regulatory developments, understand their implications and take informed action.

Paid PRO subscriptions provide access to the content, publications, tools and resources specified in the relevant subscription description. Access is subject to the subscription period, applicable fees and any restrictions communicated at the time of purchase. Unless expressly stated otherwise, a PRO subscription is a licence for one named individual and is not a corporate or multi-user licence.

The platform may include:

  • Free editorial articles and expert commentary.
  • Customs Watches covering the EU, UK and USA.
  • Export Control & Sanctions Watch.
  • Regulatory monitoring and early-warning information.
  • Knowledge Hub articles and analysis.
  • Implementation Playbooks, checklists, templates and worked examples.
  • Masterclasses and downloadable training resources.
  • Other trade intelligence products and services introduced from time to time.

5.4 Publication Frequency and Availability

Customs Watches and other recurring publications are generally issued according to their published schedules. Weekly publications are normally issued within the relevant seven-day period, Monday to Sunday. Publication schedules may be affected by public holidays, operational requirements, regulatory developments and planned publication breaks.

The precise content, frequency, availability and scope of each service are described on the relevant website or subscription page.

Planned breaks may include August and the final two weeks of December. Additional breaks may be announced where necessary. Customs Manager does not guarantee that every publication will contain a new regulatory development or that every scheduled edition will contain material of equal length. We may change publication formats, schedules and delivery methods where reasonably necessary.

5.2 Free Services

Customs Manager may provide free access to selected articles, newsletters, videos, publications and other resources. Free services are provided without charge and may be changed, suspended or discontinued at any time. Registration or subscription to a free service does not automatically create a paid subscription.

5.5 Changes to Services

We may update, improve, modify, replace or discontinue individual features, publications and resources. Where a material change significantly affects an existing paid subscription, we will endeavour to provide reasonable advance notice and, where appropriate, offer a suitable alternative or other remedy.

Pricing, Invoicing and Payment

6.1 Prices

  • Prices are displayed on the relevant website, proposal or quotation.
  • Unless expressly stated otherwise, prices are quoted exclusive of applicable VAT and other taxes.
  • Any applicable taxes will be identified on the relevant invoice.
  • Prices may be changed from time to time. A price change will not retrospectively alter a fee already agreed for an existing subscription period.

6.2 Payment by Invoice

  • Customs Manager Ltd issues invoices for paid subscriptions and professional services.
  • Payment must be made using the payment instructions and within the payment period stated on the relevant invoice.
  • Unless otherwise agreed in writing, subscription fees are payable in advance for the relevant subscription period.
  • Where payment by invoice has been agreed, access to paid services will normally be granted once payment has been received and processed.
  • The Company does not guarantee immediate access following the submission of an order or the issue of an invoice.

6.3 Business Customers

  • For business customers, invoices are payable within the payment period stated on the invoice.
  • Unless otherwise agreed in writing, fees are payable in full and in advance for the relevant subscription period or professional service.
  • Where a business customer fails to pay an invoice by its due date, Customs Manager Ltd may suspend access to paid services, withhold further services or take reasonable steps to recover the outstanding amount.
  • Business customers remain responsible for fees properly due under their agreed subscription or service contract, including where they stop using the service before the end of the agreed subscription period.
  • Any statutory rights concerning interest, compensation and recovery costs remain unaffected.

6.4 Consumers

  • Consumers must pay the agreed price using the payment arrangements communicated at the time of purchase.
  • We will provide clear information about the total price, applicable taxes, subscription duration and payment arrangements before the contract is concluded.
  • Nothing in these Terms & Conditions requires a consumer to pay charges that have not been properly disclosed or agreed.
  • Consumer payment and cancellation obligations are subject to applicable statutory protections.

6.5 Invoicing and Records

  • Invoices are issued electronically unless otherwise agreed.
  • Customers are responsible for providing accurate invoicing details, including their legal entity name, billing address and relevant VAT registration details.

7. Subscription Periods, Renewal and Cancellation

7.1 Subscription Periods

Subscriptions are offered for the periods stated on the relevant subscription page or order confirmation.

The applicable subscription period, price and service entitlement will be confirmed when the subscription is accepted.

7.2 Renewal

Unless otherwise agreed in writing, a subscription does not renew through an automatic payment charge.

Where a subscription is offered for renewal, Customs Manager Ltd may issue a renewal invoice before the existing subscription period expires.

A further subscription period will commence once the renewal has been accepted and the applicable payment has been received, unless another arrangement has been agreed.

7.3 Business Customer Cancellation

Business customers may request cancellation by contacting info@customsmanager.org.

Unless otherwise agreed in writing, cancellation takes effect at the end of the current agreed and paid subscription period.

Where a business customer has entered into a fixed-term subscription, cancellation does not automatically release the customer from payment obligations for the remainder of the agreed term.

No further subscription period will commence following an accepted cancellation unless a further subscription is agreed.

7.4 Consumer Cancellation

Consumers may cancel a subscription in accordance with the applicable contractual terms and statutory consumer rights.

Where a statutory cancellation right applies, the consumer may exercise that right within the relevant statutory period.

Where no statutory cancellation right applies or the statutory period has expired, cancellation will normally take effect at the end of the current paid subscription period, unless otherwise required by law.

Consumers will not be required to waive statutory rights as a condition of cancelling a subscription.

7.5 Free Trials and Promotional Access

Customs Manager may offer free trials, introductory subscriptions, promotional access or discounted subscription periods.

The duration, eligibility, conditions and any subsequent subscription arrangements will be communicated when the offer is made.

A free trial does not automatically create an obligation to purchase a paid subscription.

Where a trial is followed by a paid subscription, the applicable price, commencement date and payment arrangements will be communicated in advance. A paid subscription will only be established in accordance with the applicable acceptance and payment arrangements.

7.6 Consumer Cooling-Off Period

Where a consumer qualifies for statutory cancellation rights under the Consumer Contracts Regulations 2013, a 14-day cancellation period will generally apply to qualifying distance contracts.

The cancellation period normally starts on the day after the contract is concluded for services and on the day after the consumer receives the goods for goods contracts.

For digital content supplied immediately during the 14-day period, the consumer's cancellation right is lost only where all applicable legal conditions are satisfied. These include:

  • The consumer has expressly requested or consented to the digital content being supplied during the cancellation period.

  • The consumer has acknowledged that the right to cancel will be lost once the digital content supply begins.

  • The Company has provided the required contractual confirmation.

Simply accessing a website, registering an account or subscribing to a paid service does not automatically remove a statutory cancellation right.

For service contracts, separate rules apply where performance begins during the cancellation period. Where a consumer expressly requests early commencement, the Company may be entitled to payment for services actually supplied before cancellation, subject to applicable legal requirements.

Nothing in this section excludes or restricts statutory consumer rights.

8. User Obligations and Acceptable Use

By using our websites and services, you agree to:

  • Provide accurate and up-to-date registration and account information.
  • Use the websites and services lawfully and responsibly.
  • Keep your account credentials confidential.
  • Avoid activities that disrupt, damage or compromise our websites, systems or services.
  • Respect the intellectual property rights of Customs Manager Ltd and third parties.
  • Avoid unauthorised access, copying, redistribution or commercial exploitation of subscription materials.

You must not:

  • Share your individual subscription login details with another person.
  • Allow non-subscribers to access restricted PRO materials through your account.
  • Copy, reproduce, distribute, publish, resell or commercially exploit protected materials without prior written permission.
  • Upload, transmit or distribute malicious software or other harmful material.
  • Attempt to circumvent access controls, subscription restrictions or other technical security measures.
  • Misrepresent the origin or authorship of Customs Manager content.

A breach of these obligations may result in suspension or termination of access.

9. Refunds

9.1 Business Customers

For business customers, payments are generally non-refundable once the relevant subscription period or service has commenced, unless:

  • Customs Manager Ltd agrees otherwise in writing.

  • The Company cancels the service and cannot provide an appropriate alternative.

  • A refund is required under the applicable contract or law.

The fact that a business subscriber has not accessed or used all available resources during a paid subscription period does not, by itself, create an entitlement to a refund.

9.2 Consumers

Consumers retain their statutory rights to refunds and other remedies under applicable legislation.

These may include rights relating to cancellation of distance contracts, digital content that is not as described or of satisfactory quality, and services that are not performed with reasonable care and skill.

Where a statutory refund is due, we will process it in accordance with applicable legal requirements.

9.3 General

All refund requests should be sent to info@customsmanager.org, identifying the relevant order, subscription or service.

Refund requests will be assessed against the applicable contract and statutory requirements.

10. Intellectual Property and Copyright

All intellectual property rights in content created and published by Customs Manager Ltd remain the property of the Company unless expressly stated otherwise. This includes:

  • Articles and editorial publications.
  • Customs Watches and trade intelligence briefings.
  • Knowledge Hub resources.
  • Implementation Playbooks.
  • Checklists, templates and worked examples.
  • Training materials and masterclasses.
  • Videos, graphics, presentations and downloadable resources.
  • Website design, branding, logos and other proprietary materials.

PRO subscribers receive a limited, non-exclusive, non-transferable and revocable licence to access and use the relevant materials during their subscription period.

This licence permits personal use by individual subscribers and internal business use where the subscription has been purchased for professional purposes.

It does not permit onward distribution, resale, republication, external commercial use or sharing with other individuals or organisations without prior written permission.

Where content incorporates third-party material, the relevant third-party rights remain with their respective owners and must be respected.

Any request to reproduce, distribute, republish or otherwise use Customs Manager materials beyond the permitted licence must be submitted in writing to info@customsmanager.org.

11. Intellectual Property and Copyright

11.1 General Information

Customs Manager publishes information, commentary, analysis and educational materials relating to customs, international trade, export controls and sanctions.

Our content is intended to support understanding and awareness of relevant developments.

It is provided for general informational and educational purposes and does not constitute legal, tax, financial or individual professional advice.

11.2 No Substitute for Individual Advice

Customs and international trade requirements depend on the facts and circumstances of each transaction, product, business and jurisdiction.

Information published through our websites should not be treated as a substitute for an assessment of an individual business's circumstances.

Before making a customs declaration, determining a commodity code, applying a preferential origin claim, establishing a customs value or taking action in relation to export controls or sanctions, users should obtain appropriate professional advice where necessary.

11.3 Accuracy and Currency

Customs Manager takes reasonable care in preparing and publishing its content.

We aim to provide accurate, relevant and timely information based on available sources at the time of publication.

Nevertheless, legislation, regulations, guidance, administrative practice and enforcement positions can change.

We cannot guarantee that every item of information will remain accurate, complete or current after publication.

Users should verify relevant requirements against official legislation, regulatory guidance and other authoritative sources before acting.

11.4 No Guarantee of Outcomes

Customs Manager does not guarantee any particular customs, regulatory, financial or commercial outcome from using its publications, resources or services.

The use of our information does not guarantee regulatory compliance, the acceptance of a customs declaration, the granting of an authorisation or the avoidance of penalties.

12. Limitation of Liability

Nothing in these Terms & Conditions excludes or limits liability where such exclusion or limitation is prohibited by law. In particular, nothing excludes or limits liability for:

  • Death or personal injury caused by negligence.
  • Fraud or fraudulent misrepresentation.
  • Any other liability that cannot legally be excluded or restricted.
  • Statutory consumer rights and remedies.

12.1 Business Customers

Subject to the provisions above and to the extent permitted by law, Customs Manager Ltd will not be liable to business customers for indirect or consequential losses, loss of profits, loss of revenue, loss of anticipated savings, loss of business opportunities or loss of goodwill.

For business customers, the Company's total aggregate liability arising from or in connection with a particular paid subscription will not exceed the subscription fees paid or payable for that subscription during the 12 months preceding the event giving rise to the claim. This limitation does not apply where the law prohibits its application.

12.2 Consumers

Where a customer qualifies as a consumer, the Company's liability is subject to applicable consumer protection legislation.

Nothing in these Terms & Conditions excludes or restricts liability for breach of statutory obligations, lack of reasonable care and skill, digital content that fails to meet statutory standards or any other consumer right that cannot legally be excluded or restricted.

12.3 Professional Services

Different liability provisions may apply to individually commissioned consultancy, training, customs clearance or other professional services where these are set out in a separate written agreement.

13. Third-Party Websites and External Resources

Our websites and publications may contain links to third-party websites, legislation, regulatory authorities, publications and other external resources.

These links are provided for information and convenience.

Customs Manager Ltd does not control third-party websites and is not responsible for their content, availability, security, privacy practices or accuracy.

The inclusion of an external link does not imply endorsement of the linked organisation or its services.

Users should review the terms and privacy policies of third-party websites independently.

14. Suspension and Termination

Customs Manager Ltd may suspend or terminate an account, subscription or access to its services where:

  • A user materially breaches these Terms & Conditions.
  • Subscription fees remain unpaid.
  • An account is used fraudulently or unlawfully.
  • Login credentials or subscription content are shared without authorisation.
  • Continued access creates a security, legal or operational risk.
  • The relevant service is discontinued.

Where reasonably practicable, we will provide notice and an opportunity to remedy a breach before taking action. Immediate suspension may be necessary in cases involving serious misconduct, unauthorised access, fraud or security risks. Termination does not affect rights or obligations that accrued before termination. Where a paid service is terminated by the Company without customer breach, any refund or other remedy will be assessed in accordance with the applicable contract and statutory rights.

15. Website Availability and Security

We aim to maintain reliable access to our websites and services.

However, we do not guarantee uninterrupted or error-free availability.

Access may occasionally be interrupted because of maintenance, technical problems, security measures, third-party service failures or circumstances outside our reasonable control.

We may temporarily restrict access where necessary to protect the security, integrity or operation of our websites and services.

We are not responsible for failures caused by the user's internet connection, equipment, software or third-party systems outside our reasonable control.

16. Privacy and Data Protection

Personal information collected through our websites and services is processed in accordance with the Customs Manager Ltd Privacy Policy.

Our Privacy Policy explains how we collect, use, store and protect personal information, including information relating to:

  • Website visitors.

  • Registered users.

  • Newsletter subscribers.

  • PRO subscribers.

  • Clients and professional contacts.

  • Individuals contacting the Company.

Service-related communications may be sent where necessary to administer accounts, subscriptions, invoices, orders and professional engagements.

Marketing communications are handled in accordance with applicable data protection and electronic marketing requirements.

You may unsubscribe from marketing emails using the relevant unsubscribe facility or by contacting us.

17. Changes to These Terms

Customs Manager Ltd may update these Terms & Conditions to reflect changes in its services, business operations, technology or applicable legal requirements.

The latest version will be published on the relevant website with its effective date.

Where changes materially affect an existing paid subscription or contractual rights, we will take reasonable steps to notify affected subscribers.

Changes will not retrospectively remove rights that have already accrued or override statutory protections.

Continued use of the relevant services after the effective date constitutes acceptance of the updated Terms.

18. Force Majeure

Customs Manager Ltd will not be liable for a failure or delay in performing its obligations where this results from circumstances beyond its reasonable control.

Such circumstances may include natural disasters, severe weather, war, terrorism, civil unrest, industrial disputes, government restrictions, regulatory action, cyber incidents, telecommunications failures and major third-party service interruptions.

We will take reasonable steps to minimise the effects of such circumstances and resume normal services as soon as practicable.

19. Governing Law and Jurisdiction

These Terms & Conditions and any non-contractual obligations arising from or connected with them are governed by the laws of England and Wales.

For business customers, the courts of England and Wales will have jurisdiction over disputes arising from these Terms & Conditions.

For consumers, the applicable jurisdiction and courts will be determined in accordance with mandatory consumer protection legislation. Nothing in this section removes any mandatory right a consumer may have to bring proceedings in another jurisdiction.

20. General Provisions

If any provision of these Terms & Conditions is found to be invalid, unlawful or unenforceable, the remaining provisions will continue to apply.

A failure or delay by Customs Manager Ltd to exercise a right under these terms does not constitute a waiver of that right.

These Terms & Conditions, together with any applicable separate written agreement, constitute the agreement governing the relevant use of the websites and services.

You may not transfer your rights or obligations under these terms without our prior written consent.
